Customer Agreement and  Terms of Service 

To ensure a successful partnership, these terms outline our mutual agreements, project responsibilities, and clear policies for our services and digital products.

01. Scope of Agreement & Acceptance

Welcome to Infotechistan (“Agency,” “we,” “us,” or “our”). We operate under the brand name Infotechistan, founded by Akash Verma, headquartered in Faridabad, Haryana, India. By signing our project quotations, approving contracts, paying advance deposits, or using our services, you (the “Client”) agree to be legally bound by these Terms and Conditions.

Acceptance of Terms: Your use of our services, initiation of payments, or approval of quotations/SoWs constitutes complete and unconditional acceptance of these Terms.

02. Project Initiation & Payment Milestones

To ensure consistent resource allocation and project momentum, we enforce strict payment terms across all service lines:

  • Advance Payment Requirement: Development, designing, marketing, recruitment or any other work will begin only after Infotechistan receives the initial advance payment specified in the last mutually agreed document (i.e., Quotation, Contract or SoW).
  • Deliverable Release Condition: Custom source code, high-resolution design templates (Figma/AI/PSD), non-watermarked final video files, databases, recruiter reports, or any other final deliverables will be shared only after the full and final payment has been cleared.
  • Non-Refundability: If the Client halts, cancels, or stops a project at any stage, all payments cleared to date are completely non-refundable.
  • Right to Stop Work: We reserve the right to suspend operations immediately if there is a payment delay, a lack of feedback/response for over 15 working days, scope abuse, or if the Client uses abusive, unprofessional, defamatory, threatening, or indecent language toward any member of the Infotechistan team. In such situations, no source code, project assets, layouts, designs, information, or deliverables will be shared with the Client, and no payment made will be refunded. We may terminate the project immediately without any prior notice.

03. Web, App, & Custom Software Development

Our software development processes are guided by clear boundaries to maintain project clarity:

  • Scope Boundaries: Development is strictly limited to the features listed in the project quotation. Any additional module, logic modification, API integration, or page request will be treated as out of scope, charged additionally, and will extend the timeline.
  • Maintenance Period: Free technical maintenance starts from the date of final project delivery or final payment clearance (whichever is earlier). This covers only the smooth functioning of delivered features (bug fixes). It does not cover updates for new features, design modifications, or third-party platform updates. The duration of the free maintenance period will be as mentioned in the latest mutually agreed document, proposal, quotation, or invoice shared with the Client.
  • Deployment Credentials: The Client is free to purchase server hosting and domains from any third-party provider. The Client must purchase these using their own email ID to retain direct legal ownership of their hosting assets. Infotechistan is not responsible for hosting uptime, database storage, server configuration issues, or performance constraints.
  • Post-Delivery Modification: If another developer, designer, client team member, or third-party modifies our delivered code, systems, or design layouts after project delivery, all maintenance, free support, and warranty obligations from Infotechistan become immediately null and void.

04. Branding & Graphic Design Services

For brand identities, layouts, logos, and UI designs, the following terms govern asset creation:

  • Asset Supply: The Client must supply all brand files, high-resolution logos, copywriting text, custom photography, and specific references unless copywriting and imagery are explicitly budgeted in our quote.
  • Design Source Files: Draft concepts and creative iterations remain the property of Infotechistan. Final design assets are transferred to the Client after full payment is made. Raw project files (e.g. Figma, Adobe Illustrator, or Photoshop project files) are shared only if they are explicitly listed in the quotation as deliverables. Otherwise, files are delivered in standard output formats (PNG, SVG, PDF, JPEG).
  • Revisions: Revisions are limited to the exact number of rounds specified in the quotation. Any additional revision round or design rework will be charged at a separate hourly or fixed rate.

05. Digital Marketing & SEO Services

Our marketing services are focused on strategic positioning, execution, and audits:

  • Service Retainers: Marketing retainers and SEO campaigns operate on a monthly cycle and require payments at the beginning of each cycle.
  • Platform Disclaimers: We implement SEO and ad campaigns using industry standards. However, we do not guarantee specific keyword rankings, page-one positions, traffic counts, or conversion metrics. Search engine algorithms (Google, Bing) and ad networks (Meta, Google Ads) are owned and modified dynamically by third parties without notice.
  • Direct Ad Spend: The client is directly responsible for all advertising budgets (ad spend paid to Google, Meta, LinkedIn, etc.) through their own credit cards. The charges paid to Infotechistan are strictly service fees for campaign strategy, creation, copy, testing, and management.

06. Promotional Video Services & Video Editing

For video production, editing, scripting, and post-production, the following parameters apply:

  • Production Brief: Video edits and layouts are based on the client's approved script, storyboard, and raw footage (if provided by the client). Major modifications to the script or storyboard after editing has started will be treated as out of scope.
  • Preview Delivery: All preview drafts will be delivered with a watermark. Non-watermarked high-resolution final exported videos (MP4, MOV) will be shared only upon receipt of full payment.
  • Project Source Files: Video editing source files (e.g. Adobe Premiere Pro project files, After Effects project files, project media assets) are proprietary property of Infotechistan and are not shared with the Client unless explicitly purchased under a separate licensing fee agreement.

07. Recruitment, Staffing, & Placement Services

Our recruitment services connect clients with candidates to streamline staffing requirements:

  • Placement Fees: Recruitment fees are calculated as a percentage of the hired candidate's annual Cost to Company (CTC) or a fixed fee as specified in the recruitment agreement, payable within the invoiced timeline.
  • Hiring Responsibility: We screen candidates based on the job description provided by the Client. The final decision to hire rests solely with the Client. Infotechistan is not liable for candidate behaviors, performance, on-the-job actions, or duration of employment.
  • Replacement Clause: If a hired candidate voluntarily leaves the Client's organization or is terminated due to performance within the period specified in the contract (usually 90 days from the joining date), Infotechistan will provide a replacement candidate at no extra cost, subject to the conditions detailed in our separate recruiter service level agreement. The replacement guarantee period will continue only for the remaining duration of the original guarantee period.
  • Recruitment Poaching / Direct Hiring: The Client shall not directly approach, hire, solicit, or engage any of Infotechistan's employees, internal recruiters, or associated freelancers during our active contract engagement and for a period of 12 months after its conclusion, without our express written consent.

08. Project Timelines, Approvals & Communication

For all creative, development, recruitment or other projects:

  • Review Delays Excluded: The development or delivery timeline is subject to timely feedback from the client. Any delay caused by pending reviews, delayed asset handovers, or delayed feedback on designs, drafts, or modules shall not be counted as part of the project duration.
  • Timeline Adjustments: The timeline will slide forward automatically by a period equivalent to the client's feedback delay. Schedules may also vary due to technical hurdles, third-party API changes, or unforeseen circumstances.
  • Communication Channel: All official approvals, project briefs, feedback, and scope change instructions must be submitted strictly via email. Verbal discussions, phone conversations, or social chat messages (e.g. WhatsApp, Slack) will not be considered binding or official project approvals.
  • Abandoned / Dormant Projects: Any project that remains inactive or on hold for more than 15 working days due to client non-responsiveness, lack of content provision, or delayed feedback may be marked as dormant. Infotechistan reserves the right to suspend work on dormant projects, charge a rescheduling fee to resume, and reschedule the final delivery date entirely as per Infotechistan's convenience.

09. External APIs & Third-Party Outages

Modern digital integrations rely on external cloud service providers:

Client API Expenses: Any fees, licensing, or recurring costs related to third-party integrations, map APIs (Google Maps), SMS/OTP services, transactional email dispatchers (SendGrid, Twilio), hosting services, payment gateway fees or any other external service required for the project are paid directly by the Client.

No Outage Liability: Infotechistan is not responsible or legally liable for service interruptions, errors, or losses caused by third-party outages (including hosting platforms, API disruptions, or gateway failures).

10. Security, Testing & Data Backup

We employ secure design patterns for code and digital properties. However, you acknowledge that no system is completely secure:

We make every effort to ensure that websites, databases, and application channels are secure and reliable. However, no digital entity is completely secure, as commonly understood in the technology industry.

Client Verification: We request the Client to thoroughly test the websites, applications, software, forms, media parameters, and integrations in staging prior to production launch. Infotechistan is not liable for security exploits or bugs found post-launch that were not reported during testing.

Data Backup Responsibility: The Client is solely responsible for maintaining complete, secure, and up-to-date backups of all databases, source code, designs, and content assets after project handover. Infotechistan is not liable for accidental data loss, server failures, or databases crashes post-delivery.

11. Client Content Responsibility

To protect legal ownership and respect copy rights:

Material Legality: The Client confirms and warrants that all content, imagery, graphics, videography, copy, trademarks, layouts, and brand materials provided to Infotechistan for project integration are legally owned by the Client or properly licensed. Infotechistan shall not be held liable for copyright infringement, legal claims, or intellectual property disputes resulting from materials supplied by the Client.

12. Confidentiality & Non-Disclosure (NDA)

Confidential Information: Both parties agree to keep all private business details, access credentials, source files, proprietary materials, pricing quotes, and project-related communications strictly confidential. Neither party shall disclose this information to third parties unless required by a court of law or mutually agreed upon in writing.

13. Portfolio & Marketing Rights

Showcase Rights: Infotechistan reserves the right to showcase completed project deliverables, designs, website layouts, UI screenshots, video productions, or branding assets in its portfolio, website, case studies, and social marketing channels for self-promotional purposes, unless otherwise agreed upon in writing (e.g. under a signed custom NDA).

14. Intellectual Property & Code Ownership

All source code, custom design assets, storyboards, campaign assets, and recruiter files prepared for the Client remain the property of Infotechistan until all final payments are cleared.

Once the client completes the full payment, the final custom work created by the Infotechistan for the specific project becomes the client’s property. However, if the project uses any third-party tools, libraries, software, fonts, plugins, or open-source resources, those items will still follow their own original licenses and rules.

15. Limitation of Liability & Force Majeure

As much as the law allows, Infotechistan, its founder Akash Verma, and team members will not be legally responsible for indirect losses or damages caused during or after the use of their services.

If the client faces any kind of business loss because of the services provided by Infotechistan, Infotechistan its founder Akash Verma, and team members will not be responsible for it.

Force Majeure: Infotechistan shall not be liable for any delays, performance failures, or delivery breakdowns resulting from events or circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, network outages, governmental lockouts, server farm failures, or cyber warfare.

16. Governing Law & Jurisdiction

If any legal issue, dispute, or disagreement happens between the client and Infotechistan, it will be handled according to Indian law.

Any dispute, claim, or legal action arising out of these terms, our quotations, or project deliverables shall be subject to the exclusive jurisdiction of the courts located in Faridabad, Haryana, India.

Lawful Usage Responsibility: After the final delivery of the project or service, the Client shall be solely responsible for how the delivered work is used, operated, marketed, or managed. Infotechistan, its founder Akash Verma, and team members shall not be held responsible for any unethical, misleading, fraudulent, or illegal activities carried out by the Client using the delivered project, software, designs, marketing materials, or services. However, Infotechistan does not knowingly develop, promote, or provide any service, software, content, or project that is illegal under Indian laws.
