Channel Partner Agreement and Terms

These simple guidelines outline the referral payouts, rules, and mutual responsibilities for our official partners to ensure a transparent and highly profitable partnership together.

01. Scope of Agreement & Acceptance

Welcome to Infotechistan(“Company,” “we,” “us,” or “our”). These Channel Partner Terms & Conditions govern the relationship between Infotechistan and any individual, freelancer, consultant, agency, marketing representative, or business entity participating in our Channel Partner / Referral Program (“Channel Partner”).

By referring clients, participating in meetings, sharing leads, or accepting commission payments from Infotechistan, the Channel Partner agrees to be legally bound by these Terms and Conditions.

The purpose of this program is strictly to allow Channel Partners to introduce potential clients to Infotechistan for IT development, digital marketing, branding, recruitment, automation, consulting, or other business services offered by Infotechistan.

02. Role of the Channel Partner

The Channel Partner's primary responsibility is to directly refer potential clients to Infotechistan.

  • The Channel Partner may introduce businesses, startups, professionals, or organizations interested in services provided by Infotechistan.
  • The Channel Partner acts only as a referral source and is not an employee, legal representative, franchise owner, broker, reseller, or co-owner of Infotechistan.
  • The Channel Partner is not authorized to make legal commitments, guarantees, pricing promises, delivery assurances, or contractual statements on behalf of Infotechistan unless expressly approved in writing.
  • The Channel Partner must conduct all activities professionally, ethically, and lawfully.

03. Direct Client Relationship & Transparency

Infotechistan maintains complete transparency with all referred clients.

  • Infotechistan will directly communicate with the client regarding quotations, project discussions, timelines, deliverables, technical requirements, invoices, agreements, revisions, support requests, and other project-related matters.
  • Infotechistan will not hide its business identity, team identity, or operational involvement from the client under any circumstances.
  • The Channel Partner acknowledges that no middleman, hidden agency arrangement, or broker-based structure exists within this partnership.
  • The client shall remain fully aware that services are being provided directly by Infotechistan.
  • The Channel Partner may participate in meetings, calls, or discussions if mutually agreed upon by all parties.

04. Communication & Project Management

To maintain operational clarity and avoid miscommunication, all official project communication shall be managed directly by Infotechistan.

  • Infotechistan will directly share quotations, invoices, Statements of Work (SoWs), agreements, project plans, and delivery updates with the client.
  • The client will directly communicate with Infotechistan regarding feedback, support requests, bugs, feature requests, revisions, or payment-related queries.
  • The Channel Partner may remain included in discussions for coordination purposes but shall not interfere with operational execution or internal project management decisions.
  • Infotechistan reserves the full right to independently manage project workflows, resource allocation, timelines, pricing structures, technical architecture, and delivery processes.

05. Client Payments & Billing Structure

All financial transactions for referred projects shall occur directly between the client and Infotechistan.

  • Clients must directly pay all invoices, retainers, milestone payments, taxes, subscriptions, or service fees to Infotechistan.
  • The Channel Partner is not authorized to collect payments on behalf of Infotechistan unless explicitly approved in writing.
  • The Channel Partner may confirm payment status, invoice clearance, or billing progress with the client for transparency purposes.
  • Infotechistan reserves the right to suspend work in cases of delayed payments, incomplete payments, or contractual disputes with the client.

06. Commission Structure & Eligibility

Channel Partners shall receive commissions only according to the structure defined below unless otherwise agreed upon in writing by Infotechistan.

One-Time Projects10% Commission shall be paid only after successful project delivery and after the client's payment has been fully received and cleared by Infotechistan.
Repeat / Additional ProjectsIf the same client later places another order or project with Infotechistan, the Channel Partner shall receive only 5% commission on the second project/order. No further commissions shall apply after the second order unless separately agreed in writing.
Monthly / Recurring ServicesFor recurring services such as SEO, marketing retainers, social media management, recruitment retainers, maintenance plans, or subscription-based services, the Channel Partner shall receive 10% commission on the first three successful recurring payments only.

After the applicable commission cycle is completed, Infotechistan shall have no obligation to continue sharing commissions, internal discussions, or project communication with the Channel Partner.

07. Commission Payment Terms

  • Commission payments will be processed only after the client's payment has been successfully received, cleared, and confirmed in Infotechistan's accounts.
  • Commission payments shall generally be transferred to the Channel Partner's registered bank account, UPI ID, or approved payment method.
  • Infotechistan reserves the right to withhold commissions in cases involving fraud, payment disputes, refund claims, chargebacks, legal disputes, policy violations, or misleading commitments made by the Channel Partner.
  • Taxes, TDS deductions, banking charges, or financial compliance obligations applicable under Indian law or international law may be deducted wherever legally required.

08. Non-Circumvention & Ethical Conduct

  • The Channel Partner shall not misrepresent Infotechistan's services, pricing, timelines, team capabilities, legal standing, or project commitments.
  • The Channel Partner shall not make false promises, fake guarantees, or unauthorized discounts to clients.
  • The Channel Partner shall not engage in unethical activities, spam marketing, misleading advertisements, fraudulent lead generation, or illegal business practices while representing Infotechistan.
  • Infotechistan reserves the right to immediately terminate the Channel Partner relationship if any unethical, abusive, fraudulent, defamatory, or unlawful conduct is identified.

09. Confidentiality & Data Protection

Both parties agree to maintain the confidentiality of sensitive business information shared during the partnership.

  • The Channel Partner shall not publicly disclose client details, quotations, pricing structures, contracts, technical information, or internal discussions without written permission from Infotechistan.
  • Infotechistan reserves the right to restrict access to confidential project data whenever necessary.
  • Both parties shall take reasonable precautions to protect confidential information from unauthorized access or misuse.

10. Suspension & Termination

Infotechistan reserves the right to suspend or terminate any Channel Partner relationship at any time without prior notice under circumstances including, but not limited to:

  • Fraudulent activities or fake lead submissions.
  • Misrepresentation of services or pricing.
  • Abusive or unprofessional behavior.
  • Violation of these Terms & Conditions.
  • Actions that damage the reputation or business interests of Infotechistan.

Upon termination, any pending eligible commissions approved before termination may still be processed at Infotechistan's discretion.

11. Limitation of Liability

Infotechistan shall not be liable for indirect, incidental, business, reputational, or financial losses arising from delays, client disputes, project cancellations, technical failures, third-party outages, or rejected proposals.

The Channel Partner acknowledges that project approvals, payments, client retention, and project continuity depend entirely on the client's independent business decisions.

12. Governing Law & Jurisdiction

These Terms & Conditions shall be governed and interpreted in accordance with the laws of India.

Any dispute, claim, or legal proceeding arising out of this Channel Partner relationship shall fall under the exclusive jurisdiction of the courts located in Faridabad, Haryana, India.

13. Changes to Terms

Infotechistan reserves the right to modify, update, or revise these Channel Partner Terms & Conditions at any time without prior notice.

Updated versions shall be published on the official Infotechistan website or shared through official communication channels. Continued participation in the Channel Partner Program after such updates shall constitute acceptance of the revised Terms.
